Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 27, 2022, the Board of Directors (the “Board”) of FactSet Research Systems Inc. (“FactSet” or the “Company”) received the resignations of Sheila B. Jordan and Joseph R. Zimmel as directors of the Company, each effective upon the conclusion of the Company’s 2022 fiscal year on August 31, 2022. Ms. Jordan has served on the Board since 2016 and Mr. Zimmel has served on the Board since 2007. The resignations of Ms. Jordan and Mr. Zimmel were not due to any disagreement with FactSet, its Board or its management on any matter relating to the Company’s operations, policies or practices.
